Texas Independent Contractor Agreement: Consultants and Freelancers
A Texas independent contractor agreement should describe the project the parties actually intend to carry out. For software, design, marketing or business consulting, useful preparation starts with the result, the price and the handoff. Wi Filings’ $59 guided agreement is available when the client, contractor and primary work are all in Texas. It is a DIY document product without attorney review.
Start with the Texas working relationship
The agency guidance linked in this article was checked November 2, 2026. The different legal tests serve different purposes and can reach different answers; no form or contract decides them.
For Texas unemployment-law purposes, the Texas Workforce Commission examines direction and control under the agreement and in practice. Its guidance explains that calling an arrangement “contract labor” does not determine status and describes an adapted 20-factor framework. Read the TWC independent-contractor guidance before treating a contract label as the answer.
TWC also publishes a consulting-services comparison that discusses negotiated project work, supervision, tools and the continuing relationship. These are contextual indicators, not a checklist that guarantees a result. A project fee or separate business name alone does not settle the question.
Federal employment-tax classification is a separate assessment. The IRS considers behavioral control, financial control and the relationship; working remotely does not automatically make someone independent. See the IRS worker-classification guidance. A document purchase does not certify either analysis.
Make a Texas software project specific
Imagine an Austin business engaging a Texas developer for a website update, with the primary work in Texas. The builder includes Software or IT as a category, but “update the website” still needs detail.
- Services: Identify the pages or functions being changed and the client materials needed to begin.
- Deliverables: List the files, documentation and agreed handoff. Decide whether deployment is included.
- Out of scope: Address hosting charges, ongoing maintenance and additional revisions rather than leaving them assumed.
- Payment: Choose fixed, hourly or milestone compensation and describe when invoices become payable.
Separate the agreed delivery date from assumptions about daily availability. If access or client feedback is delayed, discuss how the schedule and any additional work will be handled. Record approved changes with the project records so that the final invoice can be compared with what was requested.
Give consulting work an observable finish
For a hypothetical Dallas business commissioning a process review, “improve operations” is difficult to evaluate. A more concrete planning list could identify interviews, a written findings report and a presentation. Specify what information the client supplies and whether implementing the recommendations is included. These examples help organize your answers; they are not complete contract clauses.
Review ownership separately from delivery. A consultant may bring existing worksheets or methods while creating a new report. The builder lets you identify background materials and select an ownership or licensing approach. Read that choice alongside the payment schedule rather than assuming that receiving a file answers every ownership question.
Prepare the remaining decisions
Have the parties’ legal names, addresses and notice emails ready. Decide the project’s end structure, expense treatment, confidentiality, subcontractor permission and termination notice. If insurance is required, describe the requirement and verify coverage separately; selecting an insurance field does not obtain a policy. Use the agreement checklist to review the remaining choices.
Choose your document route
For an eligible Texas engagement, start the $59 guided contractor agreement and select Texas. Review your answers, the partial sample and key terms before checkout. The complete PDF is available in your secure portal after verified payment. Complete any remaining blanks and review it before signing.
For Wisconsin, use the separate $49 Wisconsin agreement. Other-state or multistate buyers can purchase the $59 general fill-in template, which is blank and not state-specific. It requires completion and review for the engagement. Compare all routes in the state-coverage guide and keep tax forms separate from the project agreement.
Common questions
Does a Texas contractor agreement establish independent-contractor status?
No. The agreement records the chosen terms, but the actual relationship matters. Review the TWC and IRS guidance linked above; a title, signature or payment method does not settle classification.
Can a Texas freelancer purchase the agreement?
Yes. Either party can purchase. Select the contractor-purchasing option when appropriate and enter both parties’ correct legal details. Buying the document does not sign it for either party.
What if the client is in Texas and the contractor is in Florida?
That falls outside the same-state guided product, even though both states are supported separately. The $59 general fill-in template is available, but it is not tailored to both states and must be completed and reviewed before signing.
