  • This agreement documents the parties’ intent to use a non-employee contractor relationship; the real working relationship still controls classification.
  • The base agreement says the contractor controls its business operations while the project terms describe services, results, deadlines, and acceptance. Compare that language with the parties’ intended arrangement.
  • If the parties have specific arrangements for tools, equipment, workspace, or other resources, describe them clearly in the services, deliverables, payment, or out-of-scope terms.
  • This base agreement is non-exclusive and says the contractor may serve other customers. Review whether that matches the parties’ intended arrangement.
  • Licensed, regulated, or professional services may require additional terms, disclosures, permits, or documents under the rules that apply to that work.
  • An existing or threatened dispute may make a basic self-help agreement less useful for resolving the parties’ concerns.
