Terms of Service

1. Services Offered

Wi Filings, a service of Vivid Resources LLC, provides the following business compliance services for Wisconsin entities:

• LLC Formation (Articles of Organization filing with Wisconsin DFI)
• Registered Agent Service (physical Milwaukee address for legal service of process)
• Annual Report Filing (Wisconsin DFI annual report preparation and submission)
• EIN Application (IRS Employer Identification Number acquisition)
• Document Services (Operating Agreement, Contractor Agreement, Certificate of Good Standing, RA Change Filing). Our BOI filing product is retired.

2. Selected Package and Annual Renewal

Registered Agent + Annual Report costs $169/year total. It includes registered agent service and preparation and filing of your covered annual report. There is no separate $75 charge for that covered report. We confirm the Wisconsin entity and report years before filing. When you choose the package from a verified annual report quote, your first $169 payment includes up to three outstanding report years shown at checkout, including the current year where applicable, with state filing fees included. This is a maximum of three years total, not three prior years plus the current year. Subsequent paid renewals include one covered report year. More than three years, reinstatement, and other filings require a separate quote and your approval.

When you select this package and separately authorize renewal at checkout, the package renews annually at $169. For a new formation with Wi Filings as registered agent, the first year is included whether or not you authorize renewal. If you opt in, the first $169 renewal is one calendar year after payment; otherwise no automatic renewal charge is set up. Choosing your own registered agent does not enroll you in a recurring service.

Standalone annual report filing is $75 one-time for one report year, with no automatic annual renewal. To stop a package renewal, contact [email protected] or (414) 262-6010 before the next charge. Stopping renewal does not remove report coverage already earned for an assigned report year.

3. Registered Agent Service Terms

As your registered agent, Wi Filings (Vivid Resources LLC) will:

• Maintain a physical address at 790 N. Milwaukee Street, Suite 300, Milwaukee, WI 53202 for service of process
• Accept and forward all legal documents, state correspondence, and service of process to you via email on the same business day received
• Maintain availability during normal Wisconsin business hours (8:00 AM – 5:00 PM CST, Monday–Friday)
• Prepare and file your covered annual report with the Wisconsin DFI before its deadline once we have complete, verified information

You are responsible for maintaining a current email address on file with us. Failure to update your contact information may result in missed legal notices for which Wi Filings cannot be held liable.

4. Annual Filing Terms

Standalone annual report pricing is $75 for one report year, $110 for two, or $135 for three, with no automatic renewal. Your checkout identifies the purchased years and total based on the available DFI public record. In a three-year quote, you may report the oldest year as already paid; the remaining two-year total is $110. We retain that customer-reported claim for verification before filing. Public report history does not itself confirm the amount DFI will collect.

State requirements and filing fees can vary by entity and filing. Your covered package report has no separate $75 charge. The verified package catch-up offer includes up to three report years shown at checkout. If years outside that quote or other filings are required, we explain any additional costs and obtain your approval before incurring them.

We file annual reports within 3 business days of receiving complete information, or schedule an included report for its verified DFI deadline. Filing confirmation with the DFI confirmation number is sent to your email upon completion.

4A. Customer-Directed Document Services

Document products are generated from the selections you provide. Wi Filings LLC does not choose contract terms for you and does not provide legal, tax, financial, or business-strategy advice. You are responsible for reviewing the available preview and the complete final document and deciding whether it fits your situation before signing.

When a contractor-agreement checkout page expressly offers free self-service revisions for seven days, the revision period begins when the paid order is created and ends exactly seven days later. Revisions must remain within the originally purchased product and supported state. Your current published document remains available until a replacement is successfully generated and published.

4B. Requester Authority and Limited Filing Authorization

When a checkout requests a separate filing-authority confirmation, you must provide your full legal name and role and confirm that you are authorized to direct the requested services. For an existing entity, that authority must come from the entity. For a proposed LLC, you must have authority to direct its formation. Ownership, a job title, payment, or selection of a public DFI record alone does not establish authority. You are responsible for accurate information and for providing supporting authorization if requested.

Your separate confirmation authorizes Wi Filings to prepare and submit only the filings you purchase using the information you provide or approve. Where the applicable filing rules permit, a Wi Filings representative may sign in that representative's own name and authorized capacity. For LLC formation, we follow your selected organizer arrangement; choosing yourself as organizer requires your separate organizer signature. This authorization does not override any form-specific signer requirement.

We do not receive blanket permission to copy, reproduce, or reuse your signature, sign as though we were you, sign business contracts, or make unrelated business decisions. If a filing requires your signature or another specified person's signature, we obtain that signature separately before submission. IRS/EIN and other agency-specific authorizations remain separate.

We record the confirmation text and version, name, role, service, and time with the order. This records your attestation; it is not independent identity or authority verification. We may pause filing to verify authority or obtain a required signature. These terms do not create a confirmation for a prior order that did not capture one.

5. Refund Policy

• 24-hour cancellation window: You may request a full refund within 24 hours of purchase for any service that has not yet been submitted to the Wisconsin DFI or IRS.
• After DFI/IRS submission: No refunds are available once a filing has been submitted to the Wisconsin DFI or IRS, as state fees are non-refundable and the filing cannot be reversed.
• Registered agent service: Prorated refunds are available for unused months of registered agent service if cancelled before the renewal date.

6. Payment Terms

All payments are processed securely through Stripe. By purchasing a service, you authorize Wi Filings to:

• Charge the payment method provided for the selected service
• Save a payment method for package renewals only when you separately authorize recurring billing at checkout
• Charge $169 annually for the selected Registered Agent + Annual Report package under the renewal schedule disclosed at checkout

7. Limitation of Liability

Wi Filings (Vivid Resources LLC) provides business filing services as an intermediary between you and the Wisconsin Department of Financial Institutions. We are not a law firm and do not provide legal advice.

Our liability is limited to the fees paid for the specific service in question. We are not liable for:

• Delays or errors caused by the Wisconsin DFI or IRS
• Consequences of information provided by you that is incorrect or incomplete
• Business decisions made based on our services
• Losses resulting from missed deadlines due to your failure to provide timely information

In no event shall our total liability exceed the amount paid by you for the specific service giving rise to the claim.

8. Wisconsin Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes arising from these terms or our services shall be resolved in the courts of Milwaukee County, Wisconsin.

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
