How to Start an LLC in Racine, Wisconsin (2026 Guide)
Racine combines a manufacturing base with a lakefront downtown and three business improvement districts, and the city actively courts new small businesses with loans and façade grants. Forming your LLC follows the same state steps as anywhere in Wisconsin; the local details — licenses, strict home-occupation rules, and Racine County’s newer sales tax — are what you need to get right.
Step 1 — Decide your structure
An LLC is one option for a Racine business. It generally separates company obligations from an owner’s personal obligations, but personal guarantees and other exceptions can still matter. Compare tax treatment, recordkeeping, and costs with a sole proprietorship or corporation. A single-owner LLC and a multi-member LLC have different planning needs; discuss the choice with a qualified adviser if you are unsure.
Step 2 — Check your name
Your LLC name must be distinguishable from every business already registered with the Wisconsin DFI and must include “LLC,” “L.L.C.,” or “Limited Liability Company.” Test your exact name, the root word, and obvious variations with our Wisconsin business name check, then search the USPTO for federal trademark conflicts before you order signs or a domain.
“Racine,” “Root River,” and “Lakefront” show up in many local business names — make sure your version is clearly distinguishable.
Step 3 — Choose a Wisconsin registered agent
Every Wisconsin LLC needs a registered agent with a Wisconsin street address who is available during business hours to accept legal papers and state notices. You can serve as your own agent, but that address is listed on your public DFI record. Wi Filings serves as registered agent from our Milwaukee office and forwards legal documents the same business day. Your principal office is a separate entry on your filing.
Step 4 — File the Articles of Organization
The Wisconsin DFI charges $130 to file Articles of Organization online. Wi Filings files for $209 all-in, which includes the state fee, a standard operating agreement, and your first year of registered agent service. We submit within 1–3 business days.
Step 5 — Get your EIN
An EIN is required in situations such as hiring employees and for many multi-member LLCs; banks may also request one. The IRS issues EINs for free. Wi Filings offers EIN application assistance for $49. Most eligible applications are delivered within 24 hours, Monday–Friday, after the required information and authorization are complete.
Step 6 — Register with the Wisconsin DOR
If you sell taxable goods or services, or you will have employees, register through the Wisconsin Department of Revenue’s Business Tax Registration. Racine County adopted a 0.5% county sales tax effective April 1, 2025, so the combined rate for Racine addresses is now 5.5% (per the Wisconsin DOR’s county tax table) — update your point-of-sale settings if you sold here before that date.
Step 7 — Racine licenses and permits
| City licenses | Customer Service, City Clerk & Treasurer, 730 Washington Avenue, Racine, WI 53403 · (262) 636-9171 |
| Food | City of Racine Public Health Department, Environmental Health Division · (262) 636-9203 |
| Building & zoning | Building Department · (262) 636-9464 |
| Sales tax | 5.5% (5% state + 0.5% Racine County, since April 1, 2025) |
These are general sales-tax rates for the locations described. The applicable rate depends on where a taxable sale is sourced and any special rules. Check the Wisconsin DOR rate guidance for your transaction.
According to the city, licenses are required for businesses that serve or sell alcohol, sell secondhand goods, provide food service, or tow vehicles; many other businesses need only a Certificate of Occupancy. The city’s miscellaneous license list also includes:
- Hawker/peddler (including fireworks)
- Cigarette, tobacco, and vaping sales, and gas service stations
- Massage establishments and pawnbrokers
- Public passenger businesses and drivers, scooter businesses, and quadricycles
- Amusement centers and devices, and public dance halls
- Junk collectors and dealers, towing, waste businesses, and waste tire generators/transporters
Food businesses — restaurants, grocery and convenience stores, food trucks and carts, and temporary food stands — are permitted by the City of Racine Public Health Department.
Step 8 — Working from home in Racine
Racine’s zoning code defines home occupations with strict limits. Whether a particular use is allowed also depends on the property’s zoning district. The definition includes these restrictions:
- May be run only by immediate family members who live in the home
- Cannot have exterior signs or displays
- Cannot keep or sell a substantial stock of goods
- Uses equipment of the type permitted for domestic or household purposes
- Does not deal directly with customers on the premises
If your business needs customer visits, employees, or inventory, talk to the Building Department at (262) 636-9464 before you commit to a home location. Ask separately about accessory buildings and any required occupancy approval.

Local financing and grants
The city lists low-interest small business loans for real estate, equipment, and fixtures; a Racine County matching grant of up to $2,500 for manufacturers and minority- or woman-owned businesses; and WHEDA loan guarantees. Racine has three business improvement districts — Downtown, Uptown, and Douglas Avenue — and the Uptown and Douglas Avenue districts offer façade and design grants. The county matching grant is for eligible consultant costs such as marketing and training, with company-size limits; it is not an unrestricted startup cash grant. Confirm current funding and approval before incurring costs.

Step 9 — Open a business bank account
Keep business and personal money separate and ask your chosen bank which documents it requires. Common requests include filed Articles of Organization, EIN confirmation, and an operating agreement. Compare account fees and service needs with local banks and credit unions.
Step 10 — Calendar Wisconsin’s compliance
- DFI annual report: due every year by the end of your LLC’s anniversary quarter, starting the year after formation. $25 online on your own, or $75 with Wi Filings.
- DOR returns: sales tax and withholding on the schedule the DOR assigns you.
- Racine licenses and permits: many local licenses renew annually — note each renewal date.
If an annual report is missed, the LLC shows as delinquent on its public record. Here’s how to get back in good standing, or let us handle it every year for $169 with our Registered Agent + Annual Report package.
