Wisconsin LLC Says “Delinquent”? Here’s How to Get Back in Good Standing

Darius F. Sanders, Founder of Wi Filings Darius F. Sanders · Founder, Wi Filings · Published 2026-09-26

You looked up your LLC on the Wisconsin DFI website and the status says Delinquent. That status means your LLC is behind on its annual reports; it does not mean DFI has already administratively dissolved it. Address the missing reports now, before the problem requires reinstatement.

What “Delinquent” means

A domestic Wisconsin LLC files an annual report with DFI each year starting the year after formation, by the end of its anniversary quarter. The online state fee is $25 per report year. DFI marks an LLC delinquent when its required report has not been filed.

A delinquent LLC:

  • Still exists. Delinquency and administrative dissolution are different statuses.
  • Shows its delinquent status publicly to anyone who checks, including banks, lenders, landlords, customers, and partners.
  • Risks administrative dissolution if it does not address the missing reports.

Why it is worth fixing now

Under Wis. Stat. § 183.0708, an annual report that remains unfiled for one year after its due date is grounds for DFI to begin administrative dissolution. DFI gives notice, and the LLC generally has 60 days after the notice takes effect to correct the grounds or show that they do not exist. Dissolution is not automatic on the one-year date, but waiting increases the risk.

Fixing a delinquent domestic LLC means filing the current report and paying back report fees. Fixing an administratively dissolved LLC also requires a reinstatement application following DFI’s instructions and a $100 DFI reinstatement fee, in addition to unpaid annual report fees.

One common trap is an outdated registered agent address. If you used your home address and then moved, a notice may have gone to your old address. Check your public record and contact information instead of waiting for a letter.

How to fix a delinquent Wisconsin LLC

DFI describes curing a domestic LLC’s delinquency as filing the current annual report and paying the back annual report fees.

Doing it yourself

  1. Look up your LLC with Wi Filings’ business finder, which uses DFI records. Confirm that it is delinquent rather than administratively dissolved, and review the report history.
  2. Use DFI’s online filing page to file the current annual report. Have your DFI entity ID, registered agent name, email and address, principal office address, and manager or member information ready.
  3. Pay $25 for the current report plus $25 for each unpaid report year for a domestic LLC filing online. Confirm the years and total in DFI’s filing process.
  4. Keep the filing confirmation and check the public record afterward to confirm that the reports are current. If the status does not update as expected, follow up with DFI.

Letting us handle it

Wi Filings checks your public DFI record and shows the report years and your total before you pay:

Wi Filings annual report totals
Report years owedTotal, including state fees
1$75
2$110 ($75 + $35)
3$135 ($75 + $35 + $25)
  • Already paid the oldest year? When your quote lists three report years, you can mark only the oldest year as already paid. We verify it before filing, and the order then covers the remaining two years for $110. More than three years requires a filing review.
  • One-time payment, with an automatic yearly option if you want it. Choose the $169/year Registered Agent + Annual Report package and authorize renewal at checkout.
  • Filing turnaround. We aim to submit within 3 business days after receiving complete information and send you DFI’s confirmation when available. DFI processing and any needed corrections can affect when your public status updates.

What if my LLC shows “Administratively Dissolved” instead?

That status calls for reinstatement, not an ordinary delinquency catch-up. A domestic Wisconsin LLC needs the DFI reinstatement application, the $100 reinstatement fee, and payment of unpaid annual report fees. Request instructions from DFI using your entity’s name and ID. DFI must approve the reinstatement; paying for an annual report alone does not restore the LLC, and processing time varies.

Reinstatement generally relates back to the effective date of administrative dissolution, subject to statutory limits, including protections for someone who relied on the dissolution. A dissolved LLC continues to exist for limited purposes, including winding up, so review the status before continuing ordinary operations. Keep it from happening again

Track your filing quarter and keep your registered agent’s contact information current. A reminder sent to an old address does not help you meet the deadline. See the full annual report guide →

Our Registered Agent + Annual Report package is $169/year. It includes our Milwaukee registered agent address, same-day document forwarding, and your covered annual report prepared and filed, with no separate $75 charge. We contact you each year before your report is due. See the package →

Frequently asked questions

Is a delinquent LLC the same as a dissolved LLC?

No. A delinquent LLC still exists and is behind on annual reports. An administratively dissolved LLC has a different status and needs reinstatement; paying for an ordinary annual report alone does not reinstate it.

How much does it cost to fix a delinquent Wisconsin LLC?

For a domestic Wisconsin LLC, DFI charges $25 for each unpaid annual report year when filed online. Wi Filings’ totals, with state fees included, are $75 for one report year, $110 for two, and $135 for three.

How long can my LLC stay delinquent before it is dissolved?

Under Wis. Stat. § 183.0708, an annual report that remains unfiled for one year after its due date is grounds for DFI to begin administrative dissolution. After notice takes effect, the LLC generally has 60 days to correct the grounds or show that they do not exist. The one-year point does not automatically dissolve your LLC.

Do I have to file every missed report?

DFI describes curing a domestic LLC’s delinquency as filing the current annual report and paying the back annual report fees. Our checkout shows which report years are included before you pay.

Can I still do business while my LLC is delinquent?

The LLC still exists, but its delinquent status is public and can hold up bank, lending, and contract checks. Address the missed reports promptly and confirm your status with DFI; an administratively dissolved LLC needs a different process.
