How to Start an LLC in Eau Claire, Wisconsin (2026 Guide)

Eau Claire is the hub of the Chippewa Valley, with a university town’s energy, a growing arts and food scene, and city programs aimed squarely at young businesses. The state steps to form your LLC are the same as anywhere in Wisconsin; locally, you’ll want to know the city’s licensing list, when a home business needs a permit, and the city’s micro loan fund for businesses under three years old.

Step 1 — Decide your structure

An LLC is one option for an Eau Claire business. It generally separates company obligations from an owner’s personal obligations, but personal guarantees and other exceptions can still matter. Compare tax treatment, recordkeeping, and costs with a sole proprietorship or corporation. A single-owner LLC and a multi-member LLC have different planning needs; discuss the choice with a qualified adviser if you are unsure.

Step 2 — Check your name

Your LLC name must be distinguishable from every business already registered with the Wisconsin DFI and must include “LLC,” “L.L.C.,” or “Limited Liability Company.” Test your exact name, the root word, and obvious variations with our Wisconsin business name check, then search the USPTO for federal trademark conflicts before you order signs or a domain.

“Chippewa Valley,” “Eau Claire,” and “Clearwater” are common in local business names — add a distinctive word so your name is clearly different.

Step 3 — Choose a Wisconsin registered agent

Every Wisconsin LLC needs a registered agent with a Wisconsin street address who is available during business hours to accept legal papers and state notices. You can serve as your own agent, but that address is listed on your public DFI record. Wi Filings serves as registered agent from our Milwaukee office and forwards legal documents the same business day. Your principal office is a separate entry on your filing.

Step 4 — File the Articles of Organization

The Wisconsin DFI charges $130 to file Articles of Organization online. Wi Filings files for $209 all-in, which includes the state fee, a standard operating agreement, and your first year of registered agent service. We submit within 1–3 business days.

Step 5 — Get your EIN

An EIN is required in situations such as hiring employees and for many multi-member LLCs; banks may also request one. The IRS issues EINs for free. Wi Filings offers EIN application assistance for $49. Most eligible applications are delivered within 24 hours, Monday–Friday, after the required information and authorization are complete.

Step 6 — Register with the Wisconsin DOR

If you sell taxable goods or services, or you will have employees, register through the Wisconsin Department of Revenue’s Business Tax Registration. Eau Claire lies in both Eau Claire and Chippewa counties. Both levy a 0.5% county tax, so the combined rate anywhere in the city is 5.5% (per the Wisconsin DOR’s county tax table).

Step 7 — Eau Claire licenses and permits

These are general sales-tax rates for the locations described. The applicable rate depends on where a taxable sale is sourced and any special rules. Check the Wisconsin DOR rate guidance for your transaction.

Eau Claire licenses specific activities. The city’s list includes:

  • Alcohol (Class A/B/C, temporary/picnic) and bartender/operator licenses
  • Restaurant and retail food, food trucks and trailers, and mobile food establishments
  • Direct seller permits
  • Hotels/motels, tourist rooming houses, and short-term rentals
  • Cigarette, tobacco, and vaping; massage therapy facilities; cabarets
  • Pawnbrokers and secondhand dealers, and junk dealers
  • Taxi drivers and vehicles for hire, scooters and dockless bike share
  • Sign installers, tree trimmers, and refuse/recycling/demolition-debris companies
  • Amusement devices, pool/billiard halls, bowling alleys, theaters, and firework vendors

Food businesses need a license before opening; health inspectors review restaurants, food trucks, event stands, and most retail food businesses. If your address is in the Chippewa County part of the city, confirm which health department inspects your location.

Step 8 — Working from home in Eau Claire

Check your address and proposed activity with the City Planning Division at (715) 839-4914 before opening a home business. Explain customer visits, deliveries, inventory, specialized equipment, employees, and parking, and ask whether the current Land Development Ordinance requires a permit or limits your use.

Do not assume that a quiet home office and a customer-facing operation have the same requirements. Confirm any landlord or association restrictions separately.

City micro loans for new businesses

The city’s Micro Loan Fund lists loans of $5,000–$30,000 at a 4% fixed rate for eligible businesses within city limits that have operated for less than three years. Restaurants are excluded. Approval and repayment ability are required; confirm current terms and availability with the Economic Development Division.

Step 9 — Open a business bank account

Keep business and personal money separate and ask your chosen bank which documents it requires. Common requests include filed Articles of Organization, EIN confirmation, and an operating agreement. Compare account fees and service needs with local banks and credit unions.

Step 10 — Calendar Wisconsin’s compliance

  • DFI annual report: due every year by the end of your LLC’s anniversary quarter, starting the year after formation. $25 online on your own, or $75 with Wi Filings.
  • DOR returns: sales tax and withholding on the schedule the DOR assigns you.
  • Eau Claire licenses and permits: many local licenses renew annually — note each renewal date.

If an annual report is missed, the LLC shows as delinquent on its public record. Here’s how to get back in good standing, or let us handle it every year for $169 with our Registered Agent + Annual Report package.
