How to Start an LLC in Madison, Wisconsin (2026 Guide)

Darius F. Sanders, Founder of Wi Filings Darius F. Sanders · Founder, Wi Filings · Published 2026-05-07

Madison is one of the strongest small-business markets in the state. The University of Wisconsin, the Capitol, Epic, and a deep professional-services ecosystem mean steady demand for everything from consultants to contractors to retailers. If you are forming an LLC in Madison, the state-level process is the same as anywhere in Wisconsin, but the city’s permitting, address strategy, and competitive name landscape have a few Madison-specific wrinkles worth knowing.

Step 1 — Decide your structure

Wisconsin saw 19,705 new LLCs in Q1 2026 — about 92% of all new entities — and Madison drives a meaningful share of those. LLC is the right answer for most Madison small businesses because of liability protection, simple pass-through taxes, and low setup cost.

Step 2 — Name search

Madison has a higher density of similar-sounding business names than the average Wisconsin city, especially in tech, health, food, and consulting. Use our live DFI name checker to test exact name, root word, and obvious variations. Then search USPTO for federal trademark conflicts.

Madison-specific watch-out: many Madison businesses use “Madison,” “Capitol,” “Isthmus,” “Mendota,” or “Monona” in the name. These are common — make sure your variation is genuinely distinguishable from existing entities.

Step 3 — Wisconsin registered agent

You need a Wisconsin registered agent with a Wisconsin street address available during business hours. You can be your own agent, but your home address becomes permanent public record.

Wi Filings provides a Milwaukee registered agent address for your Wisconsin DFI public records. For DOR registration, banking, and local Madison licensing forms, use the address that accurately fits the specific form field. A commercial address can make your public filing presence look more professional, but banks may still require your actual operating address, owner address, EIN records, and business documentation when opening accounts or extending credit.

Step 4 — File the Articles of Organization

State filing fee is $130 online. Wi Filings files for $209 all-in, including registered agent year one. Processing is typically one to three business days.

Step 5 — Get your EIN

Required for most Madison LLCs opening a business bank account. The IRS charges nothing. Wi Filings files for $49 with same-day delivery in most cases.

Step 6 — Register with the Wisconsin DOR

Set up your My Tax Account. Free. This is where your seller’s permit, withholding, and use tax accounts live.

Step 7 — Madison-specific licensing

Madison does not issue one general city business license for every LLC. Depending on your activity, you may need City Clerk licensing, Public Health Madison & Dane County licensing, property or zoning permits, street vending approval, alcohol licensing, or Wisconsin DOR business tax registration.

Madison-specific licenses and permits to check before you open

Start with the City of Madison’s Business & Development page, which organizes local requirements into licensing, property and development permits, food, street vending, special events, and economic development resources. A Madison consultant working from home has a very different local path than a restaurant, food cart, salon, contractor, or downtown retailer.

Common Madison checks:

  • City Clerk licensing: alcohol, entertainment, secondhand dealer, transportation, paratransit, and other city-regulated activities.
  • Public Health Madison & Dane County: restaurants, mobile food establishments, transient food stands, farmers market food vendors, and food service inspections.
  • Property and development permits: build-outs, occupancy changes, signage, remodeling, and zoning-related questions.
  • Street vending: State Street, Capitol Square, Camp Randall, Southeast Campus, and other mapped vending areas.
  • DOR Business Tax Registration: state tax registration, seller’s permit, withholding, and related tax accounts.

Madison food and vending businesses should pay special attention to location. State Street and Capitol Square vending are not generic “show up and sell” areas. The city publishes vending maps and site assignments, and Public Health Madison & Dane County has its own mobile food licensing process. Madison’s zoning is more restrictive than most Wisconsin cities, especially near campus and the Capitol. Confirm zoning before you sign any lease.

Step 8 — Open a business bank account

Madison has strong options: Summit Credit Union, UW Credit Union, US Bank, and several community banks. Bring your stamped formation documents, EIN letter, and operating agreement.

Step 9 — Build your address presence and credit

Your registered agent address can serve as your business address on most public filings. This keeps your Madison home address out of DFI, DOR, vendor, and credit bureau records. Pair it with a business email on your own domain, and start building Net 30 accounts within 60 days of formation.

Step 10 — Calendar Wisconsin’s compliance

  • DFI annual report: due during your anniversary quarter. $25 DIY or $75 with Wi Filings.
  • DOR returns: on your assigned schedule.
  • City of Madison renewals: typically annual on your business tax registration anniversary.
  • Industry licenses: typically annual.

Wisconsin had 9,959 LLC administrative dissolutions in Q1 2026. Madison contributes more than its share because many businesses miss city renewals while staying current on state ones, or vice versa.
